International Lawyer (Contracts & M&A)

We are looking for a talented and proactive International Lawyer (Contracts & M&A) to join our team.

SKILLS & EXPERIENCE:
• 4+ years of professional experience in international contract law and corporate/M&A matters within IT, software, technology, or other fast-scaling digital businesses;
• Strong experience in drafting and negotiating international commercial agreements under English and EU laws;
• Practical exposure to cross-border M&A and investment transactions (including share and asset deals, joint ventures, and group restructurings), with experience in drafting and reviewing SPAs, SHAs, Investment Agreements, and related corporate documentation;
• Experience in conducting legal due diligence and preparing structured risk reports;
• Solid understanding of corporate governance and shareholder arrangements;
• Ability to combine legal precision with commercial reasoning;
• Ability to manage multiple projects simultaneously and switch between operational contract work and transactional projects;
• High level of responsibility, structured thinking, and attention to detail;
• Proactive, business-oriented mindset and ability to work under tight deadlines.
• Law degree from a reputable Ukrainian or international university, international LL.M degree is a plus;
• Advanced English (written and spoken), ability to independently draft and negotiate in English;

KEY RESPONSIBILITIES:
• Drafting, reviewing, and negotiating international commercial agreements (IT, services, outsourcing, marketing, partnership, licensing, etc.);
• Providing legal analysis and structured opinions on cross-border matters;
• Supporting corporate structuring and governance matters;
• Participation in international M&A and investment projects (buy-side and sell-side);
• Drafting and negotiating transaction documentation (SPA, SHA, Investment Agreements, etc.);
• Managing and coordinating legal due diligence processes and interaction with external advisors;
• Identifying legal and transactional risks and proposing mitigation strategies;
• Supporting negotiations with investors, partners, and counterparties;
• Providing ongoing day-to-day legal support for international business operations.
